Terms of Service

Last updated: July 11, 2026

1. Acceptance of these terms

These Terms of Service ("Terms") govern your access to and use of Neotics Compute (the "Service"). By creating an account, signing in, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Service description

Neotics Compute is a self-serve GPU cloud rental service. It lets you browse a marketplace of GPU compute offers, rent GPU instances by the hour, and access them over SSH. Offers may be fulfilled on infrastructure we operate or on infrastructure supplied by third-party providers; specifications, pricing, and availability of offers are set out in the marketplace and may change at any time. Some listings may be marked as coming soon or sold out and are not rentable.

3. Accounts

You sign in with a Google account or an Ethereum wallet; an account is created automatically on first sign-in. You are responsible for safeguarding the credentials, wallets, API keys, and SSH keys associated with your account, and for all activity that occurs under it. Notify us promptly at [email protected] if you believe your account has been compromised. You must be legally capable of entering into a binding contract to use the Service.

4. Billing and payments

The Service is prepaid. You fund your account by sending USDC to the deposit details shown in the billing flow; confirmed deposits are converted 1:1 into account credits denominated in US dollars. Running instances are billed continuously against your credit balance at the hourly rate shown when you launch them. When your balance can no longer cover usage, running instances may be automatically stopped.

5. Acceptable use

You agree to use the Service only for lawful purposes. You must not:

We may suspend or stop instances and accounts that we reasonably believe violate this section.

6. Availability and service level

The Service is provided on an "as is" and "as available" basis, without any uptime commitment or service level agreement. The Service is in an early launch period: machine issuance may be limited, capacity may be constrained, and features may change or be withdrawn. Instances may be interrupted, and hardware may fail; you are responsible for backing up any data you care about. Data on an instance may be deleted when the instance is stopped, expires, or is reclaimed.

7. Termination

You may stop using the Service at any time and may stop your instances from the console. We may suspend or terminate your access, or stop your instances, at any time if you breach these Terms, create risk or legal exposure for us, or if we discontinue the Service. Where practical, we will give you reasonable notice. Sections that by their nature should survive termination (including billing obligations, liability limitations, and disputes) survive.

8. Limitation of liability

To the maximum extent permitted by law, Neotics Compute and its operators, suppliers, and infrastructure providers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or related to your use of the Service. To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Service is limited to the amount you paid to the Service in the three months preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

9. Changes to these terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date above, and for material changes we will take reasonable steps to notify you (for example, a notice in the console). Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
